Terms of Service

These Terms govern your access to and use of Markets MRI. By creating an account, placing an order or using the service, you agree to them on behalf of yourself and the organisation you represent.

Markets MRI is provided by ANDATA LLC ("ANDATA" MChJ), a limited liability company registered in the Republic of Uzbekistan under registration No. 3120144 on 11 February 2026, TIN (STIR) 312 790 752, with its registered office at 20A Akhmad Donish Street, Yunusabad District, Tashkent, Republic of Uzbekistan ("ANDATA LLC", "we", "us").

1. The service

Markets MRI is a decision intelligence service for market entry. For a decision you define (for example, whether to enter a specific market), the service assembles evidence from public sources, from our proprietary research base and from material you provide, states the assumptions the decision rests on, scores them against that evidence, and produces a Baseline MRI report. With a Living MRI subscription, the service continues to match new evidence to those assumptions and issues updated versions of the MRI when the evidence changes.

Some features, such as targeted research with outside respondents, run only after you explicitly approve them. We describe the current features, plans and prices on our Pricing page.

2. Eligibility and accounts

  • The service is intended for businesses and professional users. You must be at least 18 and able to enter into a binding contract.
  • You are responsible for the accuracy of the information in your account, for keeping your sign-in credentials secure, and for all activity under your account.
  • Some markets and business contexts may not yet be available where our evidence coverage is not sufficient. The app shows what is available before you pay.

3. Orders, payment and taxes

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle handles payment processing, invoicing, sales tax and VAT, and customer service inquiries related to payments and refunds. When you buy, you also enter into a transaction with Paddle under the Paddle Buyer Terms.

  • Prices are shown in US dollars and exclude applicable taxes, which Paddle calculates at checkout based on your location and tax status.
  • Subscriptions are billed in advance for each billing period and renew automatically until cancelled. You can cancel at any time; cancellation takes effect at the end of the current billing period.
  • We may change our prices. Price changes for an existing subscription take effect from the next billing period after we give you at least 30 days' notice by email.
  • Refunds are governed by our Refund Policy.

4. Your content

"Your Content" means anything you submit to the service, including decision descriptions, website URLs, product information, documents, pilot and sales notes, and any evidence you add. You keep all rights in Your Content. You grant us a limited, non-exclusive licence to host, process and analyse Your Content solely to provide and support the service for you.

We do not use Your Content to produce reports for other customers, and we do not sell it. You confirm that you have the right to submit Your Content and that doing so does not breach any law or third-party right, including confidentiality obligations.

5. Personal data and AI processing

  • Roles. Where Your Content contains personal data and we process it on your behalf to provide the service, you act as the data controller and ANDATA LLC acts as your data processor, processing it only on your documented instructions as set out in these Terms. We act as an independent controller for account, billing and usage data we process for our own business purposes, as described in our Privacy Policy.
  • Subprocessors. We use the providers listed on our Subprocessors page. We bind them to data protection obligations no less protective than these Terms and will notify account holders by email before adding a provider that processes Your Content.
  • No model training. Your Content is not used to train our models or third-party foundation models, unless you have expressly agreed otherwise in writing. Our AI provider processes it under business API terms that exclude training use.
  • Data processing agreement. If your organisation needs a data processing agreement, for example under the EU or UK GDPR, contact us and we will provide one.

6. Outputs and our research base

  • Reports, scores, assumption registries and other outputs generated for you ("Outputs") are yours to use for your internal business purposes, including sharing them with your advisers, board and investors.
  • Outputs may draw on our proprietary research base of interviews and research conversations. That research base, its structure and its underlying records remain our confidential property. Outputs include aggregated, anonymised findings only, and you may not attempt to identify individual respondents or organisations behind them.
  • The service, including its software, methods, scoring models and design, is owned by ANDATA LLC and its licensors. Except for the rights expressly granted in these Terms, no rights are transferred to you.

7. Nature of the analysis

Markets MRI supports decisions; it does not make them. Outputs are produced with automated analysis, including large language models, combined with human-sourced evidence. They can be incomplete or wrong, and evidence can change after an Output is issued. Outputs are not legal, tax, investment or financial advice. You remain responsible for your business decisions and for verifying anything material before acting on it.

8. Acceptable use

You must not:

  • use the service in breach of any law or sanctions regime, or to harm, deceive or harass others;
  • reverse engineer, scrape, resell or build a competing product from the service or our research base;
  • attempt to access accounts, data or systems that are not yours, or interfere with the security or performance of the service;
  • submit content that is unlawful, infringing, or that contains personal data you have no right to share.

9. Confidentiality

Each party will keep the other's non-public information confidential and use it only for the purposes of these Terms. This does not apply to information that is or becomes public through no fault of the receiving party, or that must be disclosed by law.

10. Availability and changes

We work to keep the service available and secure, but we do not guarantee uninterrupted operation. We may improve or change features over time. If we make a change that materially reduces a paid feature you rely on, we will tell you in advance and you may cancel and receive a pro-rata refund of prepaid, unused fees.

11. Suspension and termination

You may stop using the service and close your account at any time. We may suspend or terminate access if you materially breach these Terms, fail to pay, or use the service in a way that creates legal or security risk, and we will give notice where reasonably possible. On termination you may request an export of Your Content within 30 days, after which we delete it as described in our Privacy Policy.

12. Warranties and liability

Except as expressly stated in these Terms, the service is provided "as is" and "as available", to the extent permitted by law. Neither party is liable for indirect or consequential losses, lost profits or lost revenue. Our total liability arising out of or in connection with the service in any 12-month period is limited to the fees you paid for the service in that period. Nothing in these Terms limits liability that cannot be limited by law, including liability for fraud, or rights you have as a consumer under mandatory law.

13. Indemnity

You will defend and indemnify ANDATA LLC against third-party claims arising from Your Content or from your use of the service in breach of these Terms or applicable law, provided we notify you promptly of the claim and let you control its defence. We will defend and indemnify you against third-party claims that the service, as provided by us, infringes that party's intellectual property rights, subject to the same conditions and to the limits in the liability section.

14. Governing law and disputes

These Terms are governed by the laws of the Republic of Uzbekistan. We will first try to resolve any dispute in good faith by contacting each other in writing. If a dispute is not resolved within 30 days, it will be settled by the competent courts of Tashkent, unless mandatory law gives you the right to bring proceedings elsewhere.

15. Changes to these Terms

We may update these Terms. We will post the updated version on this page and, for material changes, notify account holders by email at least 30 days before they take effect. Continued use after that date means you accept the updated Terms.
